Description Established tech company in Santa Clara, CA has an immediate opening for a Corporate Paralegal! This Corporate Paralegal will join the legal team and work closely with attorneys and legal staff. The role involves significant assistance with Corporate Subsidiary tasks, including filing and state qualifications, as well as dealing with board minutes and securities filings. This is a hybrid role in Santa Clara that requires working on-site four days per week. The ideal candidate will have 5+ years corporate paralegal experience, including significant experience with subsidiary maintenance. Responsibilities: - Assist with managing external corporate secretarial services and overseeing corporate governance of both domestic and foreign entities. - Participate in the preparation of materials and logistics for board of directors and board committee meetings, while maintaining minute book records. - Handle the preparation of statutory filings and support other corporate governance functions. - Take responsibility for the document management of legal files. - Conduct legal research as required. - Provide assistance with miscellaneous projects as they arise. Requirements - Minimum of 5+ years of experience working as a Corporate Paralegal or in a similar role. - Proven knowledge and experience in subsidiary maintenance. - Demonstrated ability with corporate governance. - Excellent organizational skills and attention to detail. - Strong verbal and written communication skills. - Must be able to work independently and as part of a team.
